Corporate Law Summer School: Join us for an intensive three-day course․

From June 18 to 20, Concern Dialog Law Firm and the Master of Laws (LL.M.) Program at the American University of Armenia are jointly organizing the “Corporate Law Summer School.”

This is an exceptional opportunity for senior law students and young professionals to gain theoretical knowledge and become familiar with the practical application of corporate law.

The program allows you to delve into the most in-demand areas of corporate law. Participants will study the practical aspects of establishing commercial organizations, shareholder rights, corporate governance, as well as the nuances of securities registration and transfer.

  • Lilit Karapetyan – Partner at Concern Dialog. 
  • Narine Melikyan – Director of the Corporate Governance Center.

Program Agenda

The following topics will be covered during the three-day course:

Day 1. Fundamentals of Corporate Law

  • The essence of corporate law and the establishment of commercial organizations (L. Karapetyan).
  • Key differences between LLCs and Joint-Stock Companies, charter capital (L. Karapetyan).
  • Joint-Stock Companies in Armenia, securities registration, practical problems, and case studies (A. Harutyunyan).

Day 2. Shareholders' Rights and Company Governance

  • Participant/shareholder rights: participation in meetings, formation of governing bodies, and access to company information (N. Beglaryan).
  • Key corporate transactions: investments, shareholders' agreements, and option agreements (L. Karapetyan).

Day 3. Corporate Governance System and Agreements

  • The corporate governance system and its responsible parties (N. Melikyan).
  • Other participant/shareholder rights (dividends, pre-emptive rights, liquidation) (N. Beglaryan).

Please note that work experience in this field is not mandatory.
